Terms of Service

Soda Labs Ltd ("Soda," "we," "us") operates the Soda macOS application, the Soda Chrome extension, the Soda web application, and the website at getsoda.app (together, the "Service").

By using the Service, you agree to these terms. If you don't agree, don't use the Service.

Who can use Soda

You must be at least 18 years old to use the Service. By creating an account, you confirm that the information you provide is accurate and that you have the authority to agree to these terms. If you're using Soda on behalf of a company or organisation, you confirm you have the authority to bind that entity to these terms.

Your account

You're responsible for keeping your account credentials secure. If you believe your account has been compromised, contact us immediately at hello@getsoda.app. We're not liable for any loss resulting from unauthorised use of your account.


What we provide

Soda is an AI-powered knowledge capture tool for macOS. It runs in the background, captures context from your work (screen, calls, browser, connected tools), and takes action on your behalf through recipes you configure.

We aim to keep the Service available and reliable, but we don't guarantee uninterrupted access. The Service is provided "as is." We may update, modify, or discontinue features at any time. If we make changes that materially reduce the core functionality you're paying for, we'll give you reasonable notice.


Beta and early access

Soda is currently in private beta. Beta features may be incomplete, contain bugs, or change significantly. By participating in the beta, you accept that the Service is a work in progress. We welcome feedback but make no commitments about when or whether specific features will ship.


How you can use Soda

You may use Soda for lawful purposes consistent with these terms. You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service

  • Use the Service to capture, process, or store data you don't have the right to access

  • Interfere with or disrupt the Service or its infrastructure

  • Use the Service in any way that violates applicable law

  • Resell, sublicense, or redistribute access to the Service without our written permission

  • Use the Service to build a competing product


Your data and privacy

Our Privacy Policy at getsoda.app/privacy explains what data we collect, how we use it, and your rights. The Privacy Policy forms part of these terms.

You retain ownership of any data you input into or generate through the Service. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing and improving the Service.

We do not sell your data. We do not use your data to train AI models. We do not serve ads.


Screen and call capture

Soda captures context from your screen, browser activity, and calls. You are responsible for ensuring you have the necessary permissions and consents to use these features. This includes:

  • Complying with any applicable laws regarding call recording and consent in your jurisdiction

  • Informing participants on calls that recording or transcription is taking place, where required by law

  • Ensuring you have the right to capture content visible on your screen, including content from third-party applications

We provide tools to pause or disable capture, but the responsibility for lawful use rests with you.


Third-party integrations

Soda connects to third-party services (CRMs, calendars, email, and others) on your behalf. When you connect a third-party service, you authorise us to access and interact with that service according to the recipes and settings you configure.

Your use of third-party services through Soda is also subject to those services' own terms and conditions. We're not responsible for the availability, accuracy, or conduct of any third-party service.

Recipes

Recipes are instructions you create or install that tell Soda what to do with the context it captures. You're responsible for the recipes you configure and the actions they perform, including any data they send to third-party services.

Recipes shared publicly through any future marketplace are shared at your own discretion. We may review, remove, or moderate shared recipes but are not obligated to do so.


Intellectual property

Soda, including its software, design, branding, and documentation, is owned by Soda Labs Ltd and protected by intellectual property laws. These terms don't grant you any rights to our intellectual property beyond the limited right to use the Service as described here.


Payment and subscription

During the private beta, the Service is provided free of charge. When we introduce paid plans, we'll notify you in advance and provide clear pricing terms. Continued use after the introduction of paid plans will be subject to those terms.


Limitation of liability

To the maximum extent permitted by law, Soda Labs Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these terms or your use of the Service is limited to the amount you paid us in the 12 months preceding the claim, or GBP 100, whichever is greater.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.


Indemnification

You agree to indemnify and hold harmless Soda Labs Ltd from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any applicable law or third-party rights.


Termination

You can stop using the Service and delete your account at any time by contacting us at hello@getsoda.app.

We may suspend or terminate your access to the Service if you breach these terms, if required by law, or if we discontinue the Service. Where possible, we'll give you reasonable notice before termination.

On termination, your right to use the Service ends. We'll delete your personal data in accordance with our Privacy Policy.


Changes to these terms

We may update these terms from time to time. If we make material changes, we'll notify you via email or through the Service. Continued use after changes take effect constitutes acceptance. If you don't agree with updated terms, stop using the Service and contact us to close your account.


Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.


Entire agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Soda Labs Ltd regarding your use of the Service.
